Non-Solicitation Agreements in Pennsylvania
Protecting your customers and employees without a full non-compete.
What is a non-solicitation agreement?
A non-solicitation agreement restricts a departing employee or partner from soliciting the company's customers or employees for a period after they leave. It is narrower than a non-compete — it does not stop the person from working in the field, only from poaching your relationships.
Why non-solicits are often easier to enforce
Because a non-solicitation restricts less than a full non-compete, courts tend to view it as more reasonable and are more willing to enforce it. It protects the two assets a departing insider is most likely to take — customers and coworkers — without shutting them out of their livelihood entirely.
Drafting one that holds up
A defensible non-solicitation is limited in time, tied to the relationships the employee actually had, and supported by proper consideration — the same fundamentals that govern any restrictive covenant. Pairing it with a confidentiality agreement covers both relationships and information.
